The Enterprise Chamber of the Amsterdam Court of Appeals has forbidden the planned takeover of the LangeLand Ziekenhuis by care institution Fundis. The hospital in Zoetermeer has been in severe financial difficulties. According to the Enterprise Chamber, Fundis has failed to sufficiently address the financial risks of its envisaged participation. In line with the argumentation of the works council of the hospital, who opposed against the planned takeover, the Enterprise Chamber ruled that the conditions of the takeover did not meet Fundis’ own risk minimizing conditions. As a result, Fundis could not reasonable come to its decision to pursue its investment decision.
